Common use of Opinion of General Counsel of the Company Clause in Contracts

Opinion of General Counsel of the Company. At the Closing Time, the Representatives shall have received the opinion, dated the Closing Time, of the General Counsel of the Company, together with signed or reproduced copies of such letter for each of the other Underwriters in a form reasonably satisfactory to the Underwriters.

Opinion of General Counsel of the Company. At the Closing Time, the Representatives shall have received the a written opinion, dated as of the Closing Time, of Jan-Willem Vink, the General Counsel of ox xxx Xxxxxny, in form and substance reasonably satisfactory to counsel for the CompanyUnderwriters, together with signed or reproduced copies of such letter opinion for each of the other Underwriters in a form reasonably satisfactory Underwriters, to the Underwriterseffect set forth in Exhibit B hereto.

Opinion of General Counsel of the Company. At the Closing Time, the Representatives shall have received the favorable opinion, dated the Closing Time, of the R. Xxxxx Xxxxxxxx, Esq., Executive Vice President, General Counsel of and Chief Risk Officer for the Company, in form and substance satisfactory to the Representatives, together with signed or reproduced copies of such letter for each of the other Underwriters in a form reasonably satisfactory Underwriters, to the Underwriterseffect set forth in Exhibit A hereto.

At the Closing Time, the Representatives shall have received the opinion, dated the Closing Time, of the Executive Vice President and General Counsel of the Company, in form and substance satisfactory to the Representatives and substantially in the form of Exhibit A-2 hereto, respectively, together with signed or reproduced copies of such letter letters for each of the other Underwriters in a form reasonably satisfactory to the Underwriters.

At the Closing Time, the Representatives shall have received the favorable opinion, dated the Closing Time, of the Sxxxxx Xxxxx, General Counsel of the Company, in form and substance satisfactory to counsel for the Underwriters, together with signed or reproduced copies of such letter for each of the other Underwriters in a form reasonably satisfactory to the Underwriterseffect set forth in Exhibit C hereto.
