Common use of Opinion of General Counsel of the Company Clause in Contracts

Opinion of General Counsel of the Company. Xxxxxxxx Xxxxxxx, General Counsel and Secretary of the Company, shall have furnished to the Representative, at the request of the Company, his written opinion, dated the Closing Date or the Additional Closing Date, as the case may be, and addressed to the Underwriters, in form and substance reasonably satisfactory to the Representative.

Opinion of General Counsel of the Company. Xxxxxxxx XxxxxxxXxxxxxxxx X. Xxxxxx, General Counsel and Secretary of the Company, shall have furnished to the Representative, at the request of the Company, his her written opinion, dated the Closing Date or the Additional Closing Date, as the case may be, and addressed to the Underwriters, in form and substance reasonably satisfactory to the Representative, to the effect that the Company is not in violation of its Certificate of Incorporation or by-laws.

Opinion of General Counsel of the Company. Xxxxxxxx Xxxxxxx Xxxxxxx, Corporate General Counsel and Secretary of the Company, shall have furnished to the Representative, at the request of the Company, Representatives his written opinion, dated the Closing Date or the Additional Closing Date, as the case may be, and addressed to the Underwriters, in the form and substance reasonably satisfactory to the RepresentativeRepresentatives, to the effect set forth in Annex B-3 hereto.

Opinion of General Counsel of the Company. Xxxxxxxx XxxxxxxXxxxxxx Xxxxxxxxx, Esq., General Counsel and Secretary of the Company, shall have furnished to the Representative, at the request of the CompanyRepresentatives, his written opinion, dated the Closing Date or the Additional Closing Date, as the case may be, and addressed to the Underwriters, in form and substance reasonably satisfactory to the RepresentativeRepresentatives, to the effect set forth in Annex B hereto.

Held, General Counsel and Secretary of the Company, shall have furnished to the Representative, at the request of the Company, his written opinion, dated the Closing Date or the Additional Closing Date, as the case may be, and addressed to the Underwriters, in form and substance reasonably satisfactory to the Representative, to the effect set forth in Annex A-2 hereto.
