Common use of Opinion of General Counsel Clause in Contracts

Opinion of General Counsel. Sxxxxxx X. Xxxxxxxx, Executive Vice President, General Counsel and Secretary of the Company, shall have furnished to the Representatives, at the request of the Company, his written opinion, dated the Closing Date or the Additional Closing Date, as the case may be, and addressed to the Underwriters, in form and substance reasonably satisfactory to the Representatives, substantially to the effect set forth in Annex E hereto.

Opinion of General Counsel. Sxxxxxx X. Xxxxxxxx, Executive Vice President, General Counsel and Secretary of the Company, shall have furnished to the Representatives, at the request of the Company, his written opinion, dated the Closing Date or the Additional Closing Date, as the case may be, and addressed to the Underwriters, in form and substance reasonably satisfactory to the Representatives, substantially to the effect set forth in Annex E D hereto.

XxxxxxxxXxxxxx, Executive Vice President, President and General Counsel for the Company and Secretary of the CompanyGuarantors, shall have furnished to the Representatives, at the request of the Company, his written opinion, dated the Closing Date or the Additional Closing Date, as the case may be, and addressed to the Underwriters, in form and substance reasonably satisfactory to the Representatives, substantially to the effect set forth in Annex E G hereto.

Opinion of General Counsel. Sxxxxxx Xxxxxx X. XxxxxxxxXxxxx, Executive Senior Vice President, General Counsel and Corporate Secretary of the Company, shall have furnished to the Representatives, at the request of the Company, his written opinion, dated the Closing Date or the Additional Closing Date, as the case may be, and addressed to the UnderwritersInitial Purchasers, in form and substance reasonably satisfactory to the Representatives, substantially to the effect set forth in Annex E hereto.
