Opinion of German Counsel for Company. At the Closing Date, the Representative shall have received the favorable opinion addressed to the Underwriters, dated the Closing Date, of Xxxxxx Xxxxxxxx, Senior Director, Human Resources and Legal Affairs of Aeterna Zentaris GmbH, German counsel for the Company, in form and substance satisfactory to counsel for the Representative.

Opinion of German Counsel for Company. At the Closing DateTime, the Representative Representatives shall have received the favorable opinion addressed to the Underwritersopinion, dated the as of Closing DateTime, of Xxxxxx Xxxxxxxx, Senior Director, Human Resources and Legal Affairs of Aeterna Zentaris GmbHXxxxx & Xxxxxxx LLP, German counsel for the Company, in form and substance satisfactory to hitherto agreed with counsel for the RepresentativeUnderwriters, together with signed or reproduced copies of such letter for each of the other Underwriters.

At the Closing Date, the Representative shall have received the favorable opinion addressed to the Underwriters, dated the Closing Date, of Xxxxxx XxxxxxxxNorton Xxxx Xxxxxxxxx LLP, Senior Director, Human Resources and Legal Affairs of special counsel to Aeterna Zentaris GmbH, German counsel for the Company, in form and substance satisfactory to counsel for the Representative.

At the Closing Date and at each Option Closing Date, if any, the Representative shall have received the favorable opinion addressed to the Underwriters, dated the Closing Date, of Xxxxxx XxxxxxxxNorton Xxxx Xxxxxxxxx LLP, Senior Director, Human Resources and Legal Affairs of special counsel to Aeterna Zentaris GmbH, German counsel for the Company, in form and substance satisfactory to counsel for the Representative.
