Opinion of Homestead's Counsel. Sellers shall have delivered to Purchasers an opinion of legal counsel to the City of Homestead in a form reasonably satisfactory to Purchasers, stating that the amendment to the Homestead Lease in the form attached as Exhibit E and the Homestead Lease have been duly authorized by all requisite legal action by the City of Homestead and are valid and binding legal contracts of the City of Homestead which after the Closing will be enforceable by the Company in accordance with their terms.

  • Form of Opinion of Counsel A. The provisions of the Purchase Agreement are effective under the New York UCC to create in favor of the Depositor a security interest in CarMax’s rights in the Receivables and in any identifiable proceeds thereof.
