Common use of Opinion of In-House Counsel for the Company Clause in Contracts

Opinion of In-House Counsel for the Company. Xxxxxxx Xxxxxx, general counsel for the Company, shall have furnished to the Representatives, at the request of the Company, his written opinion, dated the Closing Date or the Additional Closing Date, as the case may be, and addressed to the Underwriters, in form and substance reasonably satisfactory to the Representatives, to the effect set forth in Annex C hereto.

Opinion of In-House Counsel for the Company. Xxxxxxx XxxxxxOn the Closing Date, general counsel for the Company, Representatives shall have furnished to received the Representativesfavorable opinion of Xxxxxx Xxxxxxxx, at the request Vice President, Assistant General Counsel and Assistant Secretary of the Company, his written opinion, dated the Closing Date or the Additional as of such Closing Date, as the case may be, and addressed to the Underwriters, in form and substance reasonably satisfactory to the Representatives, to the effect set forth in Annex C hereto.

At the Closing Time, the Representatives shall have received the favorable opinion, dated the Closing Time, of Xxxxxxx XxxxxxXxxxxxxx, general in-house counsel for the Company, shall have furnished to substantially in the Representatives, at the request form of the Company, his written opinion, dated the Closing Date or the Additional Closing Date, as the case may be, and addressed to the Underwriters, in form and substance reasonably satisfactory to the Representatives, to the effect set forth in Annex C Exhibit D attached hereto.
