Opinion of Intellectual Property Counsel for Company. At the Closing Time, the Representative shall have received the opinion, dated the Closing Time, of Fox Rothschild LLP, intellectual property counsel for the Company, in form and substance satisfactory to counsel for the Underwriters, together with signed or reproduced copies of such letter for each of the other Underwriters.

Opinion of Intellectual Property Counsel for Company. At the Closing Time, the Representative Representatives shall have received the favorable opinion, dated the Closing Time, of Fox Rothschild Xxxxx+Xxxxxx LLP, intellectual property counsel for the CompanyCompany with respect to intellectual property matters, in form and substance satisfactory to counsel for the Underwriters, together with signed or reproduced copies of such letter for each of the other UnderwritersUnderwriters to the effect as counsel to the Underwriters may reasonably request.

Opinion of Intellectual Property Counsel for Company. At the Closing Time, the Representative Representatives shall have received the favorable opinion, dated the Closing Time, of Fox Rothschild LLPGlobal Patent Group, intellectual property LLC, counsel for the CompanyCompany with respect to intellectual property matters, in the form and substance satisfactory to counsel for the UnderwritersUnderwriters previously agreed upon by the Representatives and such counsel, together with signed or reproduced copies of such letter for each of the other Underwriters.

Opinion of Intellectual Property Counsel for Company. At the Closing Time, the Representative U.S. Representatives shall have received the favorable opinion, dated as of the Closing Time, of Fox Rothschild LLPXxxxxxx & Parry, intellectual property counsel for the Company, in form and substance satisfactory to counsel for the U.S. Underwriters, together with signed or reproduced copies of such letter for each of the other U.S. Underwriters, to the effect set forth in Exhibit D hereto and to such further effect as counsel to the U.S. Underwriters may reasonably request.

Opinion of Intellectual Property Counsel for Company. At the Closing Time, the Representative Representatives shall have received the opinion, dated the Closing Time, of Fox Rothschild Dechert LLP, intellectual property special counsel for the CompanyCompany with respect to intellectual property matters, in form and substance satisfactory to counsel for the Underwriters, together with signed or reproduced copies of such letter for each of the other UnderwritersUnderwriters to the effect set forth in Exhibit A-2 hereto.
