Common use of Opinion of Intellectual Property Counsel for Company Clause in Contracts

Opinion of Intellectual Property Counsel for Company. The Representative shall have received an opinion, dated such Closing Date, of Xxxxxx and Xxxxx, LLP, special intellectual property counsel for the Company, in form and substance reasonably acceptable to the Representative, together with signed or reproduced copies of such letter for each of the other Underwriters.

Opinion of Intellectual Property Counsel for Company. The Representative Representatives shall have received an opinionopinion and a negative assurance letter, each dated such Closing Date, of Xxxxx Xxxxx Xxxx Xxxxxx Xxxxxxx and XxxxxXxxxx PC, LLP, special intellectual property counsel for the Company, in form and substance reasonably acceptable to agreed upon between the Representative, together with signed or reproduced copies of such letter for each of the other Underwritersparties.

The Representative Representatives shall have received an opinion, dated such Closing Date, of Brinks Xxxxx Xxxxxx and & Xxxxx, LLP, special intellectual property counsel for the Company with respect to the Company’s lead product candidate, ETC-1002, in form and substance reasonably acceptable to agreed upon between the Representative, together with signed or reproduced copies of such letter for each of the other Underwritersparties.

The Representative Representatives shall have received an opinion, dated such Closing Date, of Xxxxxx and XxxxxXxxxxxx Xxxxxxxx & Xxxxxx, LLPProfessional Corporation, special intellectual property counsel for the Company, in form and substance reasonably acceptable satisfactory to the Representative, together with signed or reproduced copies of such letter for each of the other UnderwritersRepresentatives.
