Common use of Opinion of Intellectual Property Counsel Clause in Contracts

Opinion of Intellectual Property Counsel. On each of the First Closing Date and each Option Closing Date, the Underwriter shall have received the opinion of Xxxxxx & Bird LLP, counsel for the Company with respect to intellectual property matters, dated as of such date, in form and substance satisfactory to the Underwriter.

Opinion of Intellectual Property Counsel. On each Closing Date there shall have been furnished to the Underwriter the opinion of Mxxxxxxx & Fxxxxxxx LLP, intellectual property counsel for the First Company, dated such Closing Date and each Option Closing Date, addressed to the Underwriter shall have received in substantially the opinion of Xxxxxx & Bird LLP, counsel for the Company with respect to intellectual property matters, dated form attached hereto as of such date, in form and substance satisfactory to the Underwriter.Exhibit C.
