Common use of Opinion of Local Counsel Clause in Contracts

Opinion of Local Counsel. Xxxxxxxx and Wedge, counsel for the Guarantors organized in the State of Nevada, shall have furnished to the Representative, at the request of the Company, its written opinion, dated the Closing Date and addressed to the Initial Purchasers, in form and substance reasonably satisfactory to the Representative, to the effect set forth in Annex F hereto.

On the Closing Date, Xxxxxxxx and Wedge, counsel for the Guarantors organized in the State of Nevada, shall have furnished to the Representative, at the request of the Company, its written opinion, dated the Closing Date and addressed to the Initial Purchasers, substantially in the form and substance reasonably satisfactory attached to the Representative, to the effect set forth in Annex F hereto, and such counsel shall have received such documents and information as they may reasonably request to enable them to pass upon such matters.
