Opinion of General Counsel for Company. At the Closing Time, the Underwriter shall have received the opinion, dated the Closing Time, of Xxxx X. Xxxxxxxxx, Esq., General Counsel of the Company, in form and substance reasonably acceptable to counsel for the Underwriter, to the effect set forth in Exhibit B hereto and to such further effect as counsel to the Underwriter may reasonably request.
Opinion of General Counsel for Company. On the Closing Date, the Representatives shall have received the opinion and negative assurance letter, dated as of the Closing Date, of Xxxxxxx X. Xxxxxxxx, Vice President, General Counsel and Secretary of the Company, in form and substance satisfactory to counsel for the Underwriters, together with signed or reproduced copies of such letter for each of the other Underwriters, to the effect set forth in Exhibit A hereto and to such further effect as the Representatives or counsel to the Underwriters may reasonably request.
Opinion of General Counsel for Company. If requested by the Underwriter, the opinion of Xxxx X. Xxxxxxxxx, Esq., General Counsel of the Company, in form and substance reasonably acceptable to counsel for the Underwriter, dated such Date of Delivery, relating to the Option Securities to be purchased on such Date of Delivery and otherwise to the same effect as the opinion required by Section 5(c) hereof.
Opinion of General Counsel for Company. The favorable opinion of Rxxxxx X. Xxxxxx, General Counsel of the Company, in form and substance satisfactory to counsel for the Underwriters, dated such Date of Delivery, relating to the Option Securities to be purchased on such Date of Delivery and otherwise to the same effect as the opinion required by Section 5(c) hereof.
Opinion of General Counsel for Company. The Purchasers shall have received an opinion, dated as of the Closing Date, of general counsel for the Company in form and substance satisfactory to the Purchasers and substantially in the form of Exhibit B hereto.
Opinion of General Counsel for Company. The favorable opinion of Xxxxxx X. Xxxxxx, Esq., general counsel for the Company, in form and substance satisfactory to counsel for the U.S. Underwriters, dated such Date of Delivery, relating to the Option Securities to be purchased on such Date of Delivery and otherwise to the same effect as the opinion required by Section 5(c) hereof.
Opinion of General Counsel for Company. The Representatives shall have received an opinion of the General Counsel of the Company, in a form reasonably satisfactory to counsel for the Underwriters, dated such Closing Date, substantially in the form as Exhibit C hereto.
Opinion of General Counsel for Company. At the Closing Time, the Representative and the Selling Shareholder shall have received the favorable opinion, dated the Closing Time, of Xx. Xxxxxx X. Davis, general counsel for the Company, in form and substance satisfactory to the Representative and the Selling Shareholder, together with signed or reproduced copies of such letter for each of the other Underwriters, to the effect set forth in Exhibit B hereto and to such further effect as counsel to the Representative and the Selling Shareholder may reasonably request. Such counsel may also state that, insofar as such opinion involves factual matters, they have relied, to the extent they deem proper, upon certificates of officers and other representatives of the Company and its subsidiaries and certificates of public officials.
Opinion of General Counsel for Company. On the date hereof, the Agents shall have received the favorable opinion, dated as of date hereof, of Robexx X. Xxxxxx, Xxecutive Vice President, Secretary and General Counsel for the Company, in form and substance satisfactory to counsel for the Agents, together with signed or reproduced copies of such letter for each of the other Agents, to the effect set forth in Exhibit B-2 hereto and to such further effect as counsel to the Agents may reasonably request. Such opinion shall not state that it is to be governed or qualified by, or that it is otherwise subject to, any treatise, written policy or other documents relating to legal opinions, including, without limitation, the Legal Opinion Accord of the ABA Section of Business Law (1991). Such counsel may state that, insofar as such opinion involves factual matters, he has relied, to the extent he deems proper, upon certificates of officers of the Company and its subsidiaries and certificates of public officials.
