Common use of Opinion of Maryland Counsel for Company Clause in Contracts

Opinion of Maryland Counsel for Company. At the Closing Time, the Underwriters shall have received the favorable opinion, dated as of the Closing Time, of Xxxxxxx LLP, Maryland counsel for the Company, substantially in the form set forth in Exhibit C hereto, and to such further effect as counsel to the Underwriters may reasonably request. Such counsel may state that, insofar as such opinion involves factual matters, they have relied, to the extent they deem proper, upon certificates of officers of the Company and its Subsidiaries and certificates of public officials.

Opinion of Maryland Counsel for Company. Such counsel may state that, insofar as such opinion involves factual matters, they have relied, to the extent they deem proper, upon certificates of officers of the Company and its Subsidiaries and certificates of public officials.

At the Closing Time, the Underwriters Representatives shall have received the favorable opinion, dated as of the Closing Time, of Xxxxxxx LLP, Maryland counsel for the Company, substantially in form and substance reasonably satisfactory to the form Underwriters, to the effect set forth in Exhibit C hereto, and to such further effect as counsel to the Underwriters may reasonably request. Such counsel may also state that, insofar as such opinion involves factual matters, they have relied, to the extent they deem proper, upon certificates of officers and other representatives of the Company Transaction Entities and its Subsidiaries their respective subsidiaries and certificates of public officials.

At the Closing Time, the Underwriters Representative shall have received the favorable opinion, dated as of the Closing Time, of Xxxxxxx LLP, Maryland counsel for the Company, together with signed or reproduced copies of such letter for each of the other Underwriters substantially in the form set forth in Exhibit C B hereto, and to such further effect as counsel to the Underwriters may reasonably request. Such counsel may state that, insofar as such opinion involves factual matters, they have relied, to the extent they deem proper, upon certificates of officers of the Company and its Subsidiaries and certificates of public officials.
