(the “Parent Financial Advisor”) to the effect that, as of the date of such opinion and based on and subject to the factors, qualifications, limitations, assumptions and other matters set forth therein, the Exchange Ratio provided for in this Agreement is fair, from a financial point of view, to Parent.
