Common use of Opinion of Special Litigation Counsel for the Company Clause in Contracts

Opinion of Special Litigation Counsel for the Company. On the Closing Date, the Underwriters shall have received an opinion of Kasowitz, Benson, Xxxxxx & Xxxxxxxx LLP, special litigation counsel for the Company, dated as of such date, in form and substances satisfactory to the Representative.

Opinion of Special Litigation Counsel for the Company. On each of the First Closing Date and each Option Closing Date, the Underwriters shall have received an opinion of Kasowitz, Benson, Xxxxxx & Xxxxxxxx LLP, special litigation counsel for the Company, dated as of such date, in form and substances substance reasonably satisfactory to the Representative.

On the each applicable Closing Date, the Underwriters and the Borrower shall have received an opinion of Kasowitz, Benson, Xxxxxx Txxxxx & Xxxxxxxx Fxxxxxxx LLP, special litigation counsel for the Company, dated as of such date, in form and substances satisfactory to the RepresentativeRepresentative and the Borrower.
