On the Closing Date, the Representative shall have received the opinion of Kxxxxx and Hxxxxxx LLP, special regulatory counsel for the Company, dated the Closing Date and addressed to the Representative, in a form reasonably acceptable to the Representative

Opinion of Special Regulatory Counsel for the Company. On the Closing Date, the Representative shall have received the opinion of Kxxxxx and Hxxxxxx Xxxxxx & Bird LLP, special regulatory counsel for the Company, dated the Closing Date and addressed to the Representative, in a form reasonably acceptable to the Representative.

Opinion of Special Regulatory Counsel for the Company. On the Closing Date, the Representative shall have received the opinion and negative assurance letter of Kxxxxx and Hxxxxxx LLPXxxxxxxx LLP (“Special Regulatory Counsel”), special regulatory counsel for to the Company, with respect to certain regulatory matters, dated the Closing Date and addressed to the Representative, in a form and substance reasonably acceptable satisfactory to the Representative.

On the Closing Date, the Representative shall have received the favorable opinion letter of Kxxxxx and Hxxxxxx Cxxxxx LLP, as special regulatory counsel for the Company, dated the Closing Date and addressed to the Representative, in a form and substance reasonably acceptable to the Representative.

On the Closing Date, the Representative shall have received the favorable opinion of Kxxxxx and Hxxxxxx LLP[SPECIAL REGULATORY COUNSEL], special regulatory counsel for to the Company, dated the Closing Date and addressed to the Representative, substantially in a the form reasonably acceptable to the Representativeof Exhibit F attached hereto.
