Common use of Opinion of the General Counsel Clause in Contracts

Opinion of the General Counsel. Rxxxx X. Xxxxx, Executive Vice President, General Counsel and Secretary of the Company, shall have furnished to the Representatives, at the request of the Company, her written opinion, dated the Closing Date and addressed to the Underwriters, in form and substance reasonably satisfactory to the Representatives.

Opinion of the General Counsel. Rxxxx Xxxxx X. Xxxxx, Executive Vice President, President and General Counsel and Secretary of the CompanyCompany and its subsidiaries, shall have furnished to the Representatives, at the request of the Company, her written opinion, dated the Closing Date and addressed to the Underwriters, in form and substance reasonably satisfactory to the Representatives, to the effect set forth in Annex C-2 hereto.

Xxxxx, Executive Vice PresidentHxxx Xxxxxx, General Counsel and Secretary Chief Compliance Officer of the Company, shall have furnished to the Representatives, at the request of the Company, her Representatives a written opinion, dated the Closing Date or the Additional Closing Date, as the case may be, and addressed to the Underwriters, in form and substance reasonably satisfactory to the Representatives.
