Opinion of U.S. Counsel for the Company. The Representatives shall have received an opinion and negative assurance letter of Skadden, Arps, Slate, Xxxxxxx & Xxxx LLP, U.S. counsel for the Company, dated such Closing Date, as the case may be, in form and substance reasonably satisfactory to the Representatives.

Opinion of U.S. Counsel for the Company. The Representatives shall have received an opinion and negative assurance letter of Skadden, Arps, Slate, Xxxxxxx Xxxxx Xxxx & Xxxx Xxxxxxxx LLP, U.S. counsel for the Company, dated such Closing Date, as the case may be, in form and substance reasonably satisfactory to the Representatives.

Opinion of U.S. Counsel for the Company. The Representatives Company shall have received an opinion requested and negative assurance letter of caused Skadden, Arps, Slate, Xxxxxxx & Xxxx LLP, U.S. counsel for the Company, to have furnished to the Representative its opinions dated such the Closing DateDate and any settlement date, as applicable, and addressed to the case may be, Representative in form and substance reasonably satisfactory acceptable to the RepresentativesRepresentative.

The Representatives shall have received an opinion the opinions and negative assurance letter of Skadden, Arps, Slate, Xxxxxxx & Xxxx LLP, U.S. United States counsel for the Company, dated such Closing Date, as the case may be, in form and substance reasonably satisfactory to the Representatives.

The Representatives shall have received an opinion and negative assurance letter of Skadden, Arps, Slate, Xxxxxxx Xxxxxxxx & Xxxx Xxxxx International LLP, U.S. counsel for the Company, dated such Closing Date, as the case may be, in form and substance reasonably satisfactory to the Representatives.

The Representatives shall have received an opinion and negative assurance letter opinion, dated such Closing Date, of Skadden, Arps, Slate, Xxxxxxx & Xxxx LLP, U.S. counsel for the Company, dated such Closing Date, as the case may be, in form and substance reasonably satisfactory addressed to the Representatives.Underwriters substantially in the form attached hereto as Exhibit C.
