Common use of Opinion of U.S. Counsel for the Company Clause in Contracts

Opinion of U.S. Counsel for the Company. At the Closing Time and each Date of Delivery, the Representatives shall have received an opinion, dated as of the Closing Time or such Date of Delivery, as the case may be, of O’Melveny & Xxxxx LLP, U.S. counsel for the Company, in form and substance satisfactory to the Representatives, together with signed or reproduced copies of such letter for each of the other Underwriters, to the effect set forth in Exhibit A-1 and to such further effect as the Representatives may reasonably request.

Opinion of U.S. Counsel for the Company. At the Closing Time and each Date of Delivery, the Representatives shall have received an opinion, dated as of the Closing Time or such Date of Delivery, as the case may be, of O’Melveny Skadden, Arps, Slate, Xxxxxxx & Xxxxx Xxxx LLP, U.S. counsel for the Company, in form and substance satisfactory to the Representatives, together with signed or reproduced copies of such letter for each of the other Underwriters, to the effect set forth in Exhibit A-1 and to such further effect as the Representatives may reasonably request.

Opinion of U.S. Counsel for the Company. At the Closing Time and each Date of Delivery, the Representatives shall have received an opinionopinion and disclosure letter, each dated as of the Closing Time or such Date of Delivery, as the case may be, of O’Melveny Xxxxxx & Xxxxx LLPXxxxxxx, special U.S. counsel for the Company, in form and substance satisfactory to the RepresentativesUnderwriters, together with signed or reproduced copies of such letter for each of the other Underwriters, to the effect set forth in Exhibit A-1 and to such further effect as the Representatives may reasonably request.
