Opinion of Vendor's Counsel. At the Closing Time, the Purchaser shall have received an opinion of legal counsel for the Vendor and the Shareholder in the form of the draft opinion attached hereto as Schedule "SS", which opinion may rely on certificates of one or more senior officers of the Vendor and the Shareholder as to factual matters and may rely upon opinions of local counsel with respect to matters governed by laws other than the laws of the Province of Saskatchewan and the federal laws of Canada applicable in the Province of Saskatchewan.

In rendering such opinion, the Vendor's Counsel shall be entitled to rely, as to matters of fact, on certificates of senior officers of the Vendor or the corporation and shall be entitled to qualify, by reference to his knowledge after appropriate enquiry, those portions of the opinion which it is reasonable and customary to so qualify.
Opinion of Vendor's Counsel. There shall have been delivered to the Purchaser an opinion from counsel to the Vendor, dated as of the Closing Date, in form and substance reasonably satisfactory to the Purchaser with respect to matters related to the representations, warranties and covenants of the Vendor.
