Opinion of Vendor's Counsel. At the Closing Time, the Purchaser shall have received an opinion of legal counsel for the Vendor in the form of the draft opinion attached hereto as Schedule 6.1.5, which opinion may rely on certificates of one or more senior officers of the Vendor as to factual matters and may rely upon opinions of local counsel with respect to matters governed by laws other than the laws of the State of Nevada and the federal laws of United States applicable in the State of Nevada.
Opinion of Vendor's Counsel. The Purchaser shall have received --------------------------- an opinion of Vendor's Counsel in form and substance satisfactory to the Purchaser's Counsel, acting reasonably, substantially to the same effect as the representations and warranties of the Vendor in sections 3.1.1, 3.1.2, 3.1.3, 3.1.4, 3.1.5, 3.1.9, 3.1.10 and 3.1.19 and as to such other matters incidental to the matters herein contemplated as the Purchaser and the Purchaser's Counsel may reasonably request. In rendering such opinion, the Vendor's Counsel shall be entitled to rely, as to matters of fact, on certificates of senior officers of the Vendor or the corporation and shall be entitled to qualify, by reference to his knowledge after appropriate enquiry, those portions of the opinion which it is reasonable and customary to so qualify.
Opinion of Vendor's Counsel. The Purchaser shall have received an opinion, dated the Closing Date, of Davixx, Xxxx & Xeck, xxunsel to the Vendors, covering the matters set forth in Exhibit B to this Agreement, and an opinion of counsel in the United States as to the corporate existence of LWSI and Allied Parent, the corporate power and capacity of LWSI and Allied Parent to execute and deliver, and to perform its obligations under, this Agreement, and the due authorization and execution of this Agreement by LWSI and Allied Parent.
Opinion of Vendor's Counsel. At the Closing Time, the Purchaser shall have received an opinion of legal counsel for the Vendor and the Shareholder in the form of the draft opinion attached hereto as Schedule "SS", which opinion may rely on certificates of one or more senior officers of the Vendor and the Shareholder as to factual matters and may rely upon opinions of local counsel with respect to matters governed by laws other than the laws of the Province of Saskatchewan and the federal laws of Canada applicable in the Province of Saskatchewan.
Opinion of Vendor's Counsel. At the Closing Time, the Purchaser shall have received an opinion of legal counsel for the Vendor in the form of the draft opinion attached hereto as Schedule "CC, which opinion may rely on certificates of one or more senior officers of the Vendor and the Corporation as to factual matters and may rely on opinions of local counsel with respect to matters governed by laws other than the laws of the Province of Alberta and the federal laws of Canada applicable in the Province of Alberta.
Opinion of Vendor's Counsel. At the Closing Time, the Purchaser shall have received an opinion of legal counsel for the Vendors and the Company in a form satisfactory to the Purchaser and the Purchaser's counsel.
Opinion of Vendor's Counsel. The Purchaser shall have received, at Closing, a favourable opinion of the Vendor's Counsel, substantially in the form attached hereto to Schedule 6.1(12).
Opinion of Vendor's Counsel. At the Closing Time, the Purchaser shall have received an opinion of Vendors’ Counsel in in such form as is satisfactory to the Purchaser, acting reasonably, with respect to the due authorization and execution of this Agreement by the Vendors, which opinion may rely on certificates of one or more senior officers of the Vendors which are corporations as to factual matters and may rely on opinions of local counsel with respect to matters governed by Applicable Law other than the laws of the Province of Manitoba and the federal laws of Canada applicable in the Province of Manitoba.
Opinion of Vendor's Counsel. At the Closing Time, the Purchaser shall have received an opinion of legal counsel for the Vendor in the form of the draft opinion attached hereto as Schedule 6.1.5, which opinion may rely on certificates of one or more senior officers of the Vendor as to factual matters and may rely upon opinions of local counsel with respect to matters governed by laws other than the laws of the State of Illinois and the federal laws of United States applicable in the State of Illinois.
Opinion of Vendor's Counsel. At the Closing Time, the Purchaser shall have received an opinion of legal counsel for the Vendor substantially in the form of the draft opinion attached as Schedule "6.1(j)", which opinion may rely on certificates of one or more senior officers of the Vendor as to factual matters and may rely on opinions of local counsel with respect to matters governed by laws other than the laws of the Provinces of Ontario and Manitoba and the federal laws of Canada applicable.
