Common use of Opinion of Xxxxxx Xxxxxx & Xxxxxxxx LLP Clause in Contracts

Opinion of Xxxxxx Xxxxxx & Xxxxxxxx LLP. At each Representation Date, the Company shall furnish or cause to be furnished forthwith to the Manager and to counsel to the Manager a written opinion of Xxxxxx Xxxxxx & Xxxxxxxx LLP (or other counsel satisfactory to the Manager), counsel relating to Xxxxxxxx Islands law for the Company, or its affiliate, dated and delivered the date of such Representation Date and addressed to the Manager, in form and substance satisfactory to the Manager, of the same tenor as the opinion provided in Annex D, but modified as necessary to relate to the Registration Statement and the Prospectus as amended and supplemented to the time of delivery of such opinion.

At each Representation Date, the Company shall furnish or cause to be furnished forthwith to the Manager and to counsel to the Manager a written opinion of Xxxxxx Xxxxxx & Xxxxxxxx LLP (or other LLP, special counsel satisfactory to for the Manager), counsel Company relating to Xxxxxxxx Islands law for the Company, or its affiliatelaw, dated and delivered the date of such Representation Date and addressed to the Manager, in form and substance satisfactory to the Manager, of the same tenor as the opinion provided in Annex DB, but modified as necessary to relate to the Registration Statement and the Prospectus as amended and supplemented to the time of delivery of such opinion.
