Common use of Opinion of Xxxxxxx Xxxx Xxxxxxx Limited Clause in Contracts

Opinion of Xxxxxxx Xxxx Xxxxxxx Limited. At the Effective Time and at each Representation Date that is an Annual Filing Date, the Partnership shall furnish or cause to be furnished forthwith to the Managers and to counsel to the Managers a written opinion of Xxxxxxx Xxxx Xxxxxxx Limited (or other counsel satisfactory to the Managers), special Bermuda counsel for the Partnership Parties, dated and delivered the date of such Representation Date and addressed to the Managers, in form and substance satisfactory to the Managers, of the same tenor as the opinion provided in Xxxxx XX, but modified as necessary to relate to the Registration Statement and the Prospectus as amended and supplemented to the time of delivery of such opinion.
