Opinions of Canadian Counsel for Company. At the Closing Date, the Representative shall have received the favorable opinion addressed to the Underwriters, dated the Closing Date, of Norton Xxxx Xxxxxxxxx Canada LLP, Canadian counsel for the Company, in form and substance satisfactory to counsel for the Representative.

Opinions of Canadian Counsel for Company. At the Closing DateTime, the Representative Underwriter shall have received the favorable opinion addressed to the Underwritersopinion, dated the Closing DateTime, of Norton Xxxxxx Xxxx Xxxxxxxxx Canada LLP, Canadian counsel for the Company, in form and substance satisfactory to counsel for the RepresentativeUnderwriter.

Opinions of Canadian Counsel for Company. At the Closing Date and at each Option Closing Date, if any, the Representative shall have received the favorable opinion addressed to the Underwriters, dated the Closing Date, of Norton Xxxx Xxxxxxxxx Canada LLP, Canadian counsel for the Company, in form and substance satisfactory to counsel for the Representative.

Opinions of Canadian Counsel for Company. At the Closing DateTime, the Representative shall have received the favorable opinion addressed to the Underwritersopinions, dated the Closing DateTime, of Norton Xxxx Xxxxxxxxx Canada Xxxxxx Blaikie, LLP, Canadian counsel for the Company and Xxxxxxx XxXxxxxx, special Nova Scotia counsel to the Company, each in form and substance satisfactory to counsel for the RepresentativeUnderwriters, together with signed or reproduced copies of such letter for each of the other Underwriters, to the effect set forth in Exhibit A hereto and to such further effect as counsel to the Underwriters may reasonably request.
