Opinion of IP Counsel for Company. The Representatives shall have received an opinion, dated such Closing Date, of DTWard PC, special intellectual property counsel for the Company, in form and substance reasonably satisfactory to the Representatives.
Opinion of IP Counsel for Company. At the Closing Time, the Representatives shall have received the opinion, dated the Closing Time, of Xxxxxx Xxxxxxx LLP, special intellectual property counsel for the Company, in form and substance reasonably satisfactory to counsel for the Underwriters, together with signed or reproduced copies of such letter for each of the other Underwriters to the effect set forth in Exhibit A-2 hereto and to such further effect as counsel to the Underwriters may reasonably request.
Opinion of IP Counsel for Company. If requested by the Representatives, the opinion of Xxxxxxx & Gage LLP, U.S. intellectual property counsel for the Company, in form and substance reasonably satisfactory to counsel for the Underwriters, dated such Date of Delivery, relating to the Option Securities to be purchased on such Date of Delivery and otherwise to the same effect as the respective opinions required by Section 5(c) hereof.
Opinion of IP Counsel for Company. At the Closing Date, the Representative shall have received the favorable opinion addressed to the Underwriters, dated the Closing Date, of Xxxxxx Nauwald, Senior Director, Patents and Trademarks of Aeterna Zentaris GmbH, internal German IP counsel for the Company, in form and substance satisfactory to counsel for the Representative.
Opinion of IP Counsel for Company. The Representative shall have received an opinion and 10b-5 negative assurances letter, each dated as of the applicable Closing Date, of D Young & Co and Nxxxxx Xxxxxxx Xxxxx & Sxxxxxxxxxx LLP, counsel for the Company, in form and substance reasonably acceptable to the Representative with respect to statements in the General Disclosure Package and the Final Prospectus regarding the Intellectual Property of the Company.
Opinion of IP Counsel for Company. At the Closing Date, the Representative shall have received the favorable opinion addressed to the Underwriters, dated the Closing Date, of Xxxxxx X. Xxxxxxxx, the Company’s Senior Vice President & Chief Administrative Officer and General Counsel, and Xx. Xxxxxxx Xxxxxx, Director, Patents and Trademarks of Aeterna Zentaris GmbH, in form and substance satisfactory to counsel for the Representative.
Opinion of IP Counsel for Company. At the Closing Time, the Underwriter shall have received the opinion, dated the Closing Time, of Dechert LLP, U.S. intellectual property counsel for the Company, in form and substance reasonably satisfactory to counsel for the Underwriter.
Opinion of IP Counsel for Company. At the Closing Time, the Representatives shall have received the favorable opinions, dated the Closing Time, of McDonnell, Boehnen, Xxxxxxx & Xxxxxxxx, LLP, intellectual property counsel for the Company, in form and substance reasonably satisfactory to the Representatives.
Opinion of IP Counsel for Company. If requested by the Representatives, the favorable opinion of McDonnell, Boehnen, Xxxxxxx & Xxxxxxxx, LLP, counsel for the Company, in form and substance reasonably satisfactory to the Representatives, dated such Date of Delivery, relating to the Option Securities to be purchased on such Date of Delivery and otherwise to the same effect as the opinion required by Section 5€ hereof.
Opinion of IP Counsel for Company. The Representatives shall have received an opinion, dated such Closing Date, of XxXxxxx Xxxx PLLC, special intellectual property counsel for the Company, in substantially the form attached hereto as Exhibit C.
