Opinions of Counsel to the Indenture Trustee. Counsel to the Indenture Trustee shall have delivered to the Administrative Agent and Buyer a favorable opinion dated the Closing Date and reasonably satisfactory in form and substance to the Administrative Agent and its counsel related to the enforceability of the Base Indenture; provided, however, that the foregoing shall not be duplicative of any other obligation to deliver such opinion as set forth in the Transaction Documents.
