Transfer Dates. (a) Subject to the conditions and terms set forth herein and in Section 2.06 of the Sale and Servicing Agreement with respect to each Transfer Date, the Issuer may request, and the Purchaser agrees to purchase Additional Note Principal Balances from the Issuer from time to time in accordance with, and upon the satisfaction, as of the applicable Transfer Date, of each of the following additional conditions:
(i) With respect to each Transfer Date, each condition set forth in Section 2.06 of the Sale and Servicing Agreement shall have been satisfied;
(ii) Each of the representations and warranties of the Issuer, the Servicer, the Loan Originator and the Depositor made in the Basic Documents shall be true and correct in all material respects as of such date (except to the extent they expressly relate to an earlier or later time);
(iii) The Issuer, the Servicer, the Loan Originator and the Depositor shall be in material compliance with all of their respective covenants contained in the Basic Documents and the Purchased Notes;
(iv) No Event of Default and no Default shall have occurred or shall be occurring;
(v) With respect to each Transfer Date, the Purchaser shall have received evidence reasonably satisfactory to it of the completion of all recordings, registrations, and filings as may be necessary or, in the reasonable opinion of the Purchaser, desirable to perfect or evidence the assignments required to be effected on such Transfer Date in accordance with the Sale and Servicing Agreement including, without limitation, the assignment of the Loans and the proceeds thereof;
(vi) Each Loan (i) has been originated in accordance with the Underwriting Guidelines and (ii) is not “abusive” or “predatory”; and
(vii) With respect to the first Transfer Date, the Purchaser shall have completed its initial due diligence review with respect to the Loans and the Loan Originator and determined, in the Purchaser’s sole discretion, that both the Loans and the origination, servicing and business practices of the Loan Originator are reasonably acceptable to the Purchaser.
(b) The price paid by the Purchaser on each Transfer Date for the Additional Note Principal Balance purchased on such Transfer Date shall be equal to the amount of such Additional Note Principal Balance and shall be remitted not later than 3:30 p.m. (New York City time) on the Transfer Date by wire transfer of immediately available funds to the Advance Account.

The employment of Transferred Employees with Buyer or one of its Affiliates (including the Transferred Entities), as applicable, shall be effective as of 12:01 a.m., New York City time, on the Closing Date; provided, that, notwithstanding the foregoing, the employment of Leave Recipients will become effective as provided in Section 9.01(d) above. Where an employee has been selected to fill another position, the supervisor concerned shall release the employee as expeditiously as possible after being notified of the transfer by the Human Resources Department. Notwithstanding the above, if after six (6) weeks from date of notification the employee has not moved to his new job because of delay ascribable to the Company he will be paid as if he were in the new position. The Company will also reimburse the employee for reasonable out-of-pocket expenses incurred as a direct result of the Company re-scheduling the date of transfer. Eligibility for length-of-service progression on the new job shall be determined from the date of acceptance for the new job.

Transfer Dates. When an employee is awarded an advertised job and transfer is necessary, the supervisor shall decide the date of transfer from one job to another so that all positions will be adequately filled. This transfer shall occur within ten (10) working days of the successful bid. Any person not so transferred within ten (10) working days (unless held for training purposes) shall be paid at one and one-half (1-1/2) times the present rate until transferred.
Transfer Dates. 3.2.1 Effective as of the relevant dates specified in the Final Transition Milestone Plan, the Authority shall:
3.2.1.1 sell to the Contractor, and the Contractor shall purchase from the Authority (for the sum of one pound (£1) receipt of which the Authority hereby acknowledges), the relevant Transferred Assets free from all liens, charges, options, encumbrances and third party rights (save as otherwise provided in this Agreement);
3.2.1.2 provide to the Contractor and the Contractor shall accept one copy of the relevant Authority Third Party Software together with the associated documentation and/or operating manuals listed in Schedule 11.1 (Transferring Assets) (if any);
3.2.1.3 provide to the Contractor and the Contractor shall accept one copy of the object code of the relevant Authority Software listed in Schedule 6.1 (Software) together with all associated documentation;
3.2.1.4 provide to the Contractor and the Contractor shall accept the relevant Leased Equipment listed in Schedule 11.1 (Transferring Assets);
3.2.1.5 provide to the Contractor and the Contractor shall accept one copy of the relevant Authority Data listed in Schedule 11.1 (Transferring Assets), on the agreed media; and
3.2.1.6 provide to the Contractor the relevant Authority Assets listed in Schedule 11.1 (Transferring Assets).
3.2.2 For the avoidance of doubt, in respect of any item which is to be provided to the Contractor hereunder, the Authority shall only be required by this Clause to provide such item to the Contractor on the Site where the item is located immediately before the relevant transfer and nothing herein shall require the Authority to deliver such item to any other site. If the Contractor wishes to relocate any such item, it shall be responsible for the collection and shipping of such item and all associated costs.
Transfer Dates. Unless the Union and the Hospital agree otherwise, an employee who is the successful applicant to a job posting shall be transferred by the Hospital to their new position within forty-five (45) calendar days of having accepted said job posting.
