Common use of Opinions of Financial Advisors Clause in Contracts

Opinions of Financial Advisors. Each Company Financial Advisor has delivered to the Company Board its opinion, dated as of the date thereof, to the effect that, as of such date and based upon and subject to the factors, qualifications, assumptions, limitations and other matters set forth therein, the Per Share Merger Consideration to be received by holders of shares of Company Common Stock (other than as specified in such opinion) in the Merger is fair, from a financial point of view, to such holders.

Opinions of Financial Advisors. Each Company of the Financial Advisor Advisors has delivered to the Company Board its opinion, dated as of the date thereof, a separate opinion to the effect that, as of the date of such date and based upon opinion and subject to the factorslimitations, qualifications, assumptions, limitations qualifications and other matters assumptions set forth therein, the Per Share Merger Consideration consideration to be received by the holders of shares Shares of Company Common Stock (other than as specified set forth in such opinion, if applicable) in the Offer and Merger is fair, from a financial point of view, to such holders. The Company will provide, solely for informational purposes, a true, complete and correct copy of each opinion to Parent after receipt thereof by the Company.
