Opinions of Loan Parties' Counsel. Lenders and their respective counsel shall have received (i) originally executed copies of one or more favorable written opinions of White & Case LLP, counsel for the Loan Parties, in form and substance reasonably satisfactory to Administrative Agent and its counsel, dated as of the Effective Date and setting forth substantially the matters in the opinion designated in Exhibit XII annexed hereto and as to such other matters as Administrative Agent acting on behalf of Lenders may reasonably request, and (ii) evidence satisfactory to Administrative Agent that Loan Parties have instructed such counsel to deliver such opinion to Lenders.
Opinions of Loan Parties' Counsel. The Administrative Agent and its counsel shall have received the written opinion of Cxxxxx Xxxxxx & Rxxxxxx llp, special counsel for the Loan Parties, in form and substance reasonably satisfactory to the Administrative Agent and its counsel, dated as of the Closing Date and setting forth substantially the matters set forth in Exhibit IX.
Opinions of Loan Parties' Counsel. On the Closing Date Borrower shall have delivered to the Agent and its counsel and the Lenders executed copies of the favorable written opinion(s), dated as of the Closing Date, of legal counsel(s) for the Loan Parties, which shall be in form and substance reasonably approved by the Agent and its counsel and the Majority Lenders.
Opinions of Loan Parties' Counsel. Lenders and their respective counsel shall have received originally executed copies of one or more favorable written opinions of White & Case, counsel for the Loan Parties, in form and substance reasonably satisfactory to Arranging Agents and their counsel, dated as of the Effective Date and setting forth substantially the matters in the opinions designated in Exhibit XI annexed hereto and as to such other matters as Arranging Agents acting on behalf of Lenders may reasonably request. Company hereby requests that such counsel deliver such opinions on the Effective Date to Agents and Lenders.
Opinions of Loan Parties' Counsel. The Administrative Agent shall have received executed copies of favorable written opinions of Xxxx, Weiss, Rifkind, Xxxxxxx & Xxxxxxxx LLP, counsel for the Loan Parties, and each local counsel listed on Schedule 4.1D, in each case, in form and substance reasonably satisfactory to the Administrative Agent, dated as of the Effective Date.
Opinions of Loan Parties' Counsel. Lenders and their --------------------------------- respective counsel shall have received (i) originally executed copies of one or more favorable written opinions of Xxxxxxxx & X'Xxxx, LLP, counsel for the Loan Parties, in form and substance reasonably satisfactory to Administrative Agent and its counsel, dated as of the Effective Date and setting forth substantially the matters in the opinion designated in Exhibit XIII annexed hereto and as to such other matters as ------------ Administrative Agent acting on behalf of Lenders may reasonably request, including, without limitation, as to no breach of any provision of the Subordinated Notes and as to the Tranche B Term Loans constituting "Senior Indebtedness" under and as defined in the Subordinated Note Indentures, and (ii) evidence satisfactory to Administrative Agent that Loan Parties have instructed such counsel to deliver such opinion to Lenders.
Opinions of Loan Parties' Counsel. The Agent and its counsel shall have received originally executed copies for each Agent and Lenders of one or more favorable written opinions of Xxxxxxxx & Xxxxx, special New York counsel for the Loan Parties, (ii) Xxx, Shin & Yu, special Korean counsel to the Loan Parties, (iii) King & Wood, special Chinese counsel to the Loan Parties, (iv) PricewaterhouseCoopers Kft., special Hungarian counsel to the Loan Parties, (v) Xxxxxx Westwood & Riegels, special British Virgin Islands counsel to the Loan Parties, (vi) Chancery Xxxxxxxx, special Barbados counsel to the Loan Parties and (vii) PricewaterhouseCoopers Societe a responsabilite limitee, special Luxembourg counsel to the Loan Parties, setting forth substantially the opinions designated in Exhibit VIII annexed hereto and ------------ otherwise in form and substance reasonably satisfactory to the Administrative Agent.
Opinions of Loan Parties' Counsel. The Lenders and their respective counsel shall have received (i) originally executed copies of one or more favorable written opinions of Jonex, Xxy, Reavxx & Xogux, xxd McKexxxx Xxxx Xxxxxx, xxunsel for the Loan Parties, in form and substance reasonably satisfactory to the Administrative Agent and its counsel, dated as of the Closing Date and setting forth substantially the matters in the opinions designated in Exhibit VII-A and Exhibit VII-B annexed hereto and as to such other matters as the Administrative Agent acting on behalf of the Lenders may reasonably request and (ii) evidence satisfactory to the Administrative Agent that the Borrowers have requested such counsel to deliver such opinions to the Lenders.
Opinions of Loan Parties' Counsel. Lenders and their respective counsel shall have received (i) originally executed copies of one or more favorable written opinions of Wolf, Block, Xxxxxx & Xxxxx-Xxxxx LLP, special counsel for Borrower and Silver Legacy Capital Corp., and XxXxxxxx Carano Xxxxxx XxXxxx Xxxxxx Xxxxxxxxxx & Xxxxx, LLP, Nevada counsel for Borrower and Silver Legacy Capital Corp., dated as of the Closing Date as to such matters as Administrative Agent acting on behalf of Lenders may reasonably request and (ii) evidence satisfactory to Administrative Agent that Borrower has requested such counsel to deliver such opinions to Lenders.
Opinions of Loan Parties' Counsel. Lender and its counsel shall have received originally executed copies of one or more favorable written opinions, dated as of the New Effective Date, of (i) Pitney, Hardxx, Xxxx & Xzucx XXX, local counsel for the Loan Parties, in form and substance reasonably satisfactory to Lender and its counsel and setting forth substantially the matters in the opinions designated in Exhibit V-a annexed hereto and, as to such other matters as Lender may reasonably request and (ii) Dewex Xxxxxxxxxx XXX, counsel for the Loan Parties as to the matters set forth in Exhibit V-b annexed hereto and as to such other matters as Lender may reasonably request, all in form and substance satisfactory to Lender and its counsel.
