Common use of Opinions of Owner Participant's Counsel Clause in Contracts

Opinions of Owner Participant's Counsel. The Original Loan Participant shall have received a favorable opinion, in form and substance satisfactory to it, addressed to the Indenture Trustee, the Original Loan Participant, the Owner Trustee and Lessee from (a) Morgxx, Xxxxx & Xockxxx, xxecial counsel to the Owner Participant and (b) in-house or other counsel for the Owner Participant in a position to address the Owner Participant's due incorporation and due authorization and execution of the Operative Agreements to which the Owner Participant is a party.

Xxxxxx, Xxq., senior counsel to USL Capital Corporation, agent for the Owner Participant in a position to address the Owner Participant's due incorporation and due authorization and execution of the Operative Agreements to which the Owner Participant is a party.
