Common use of Opportunity to Obtain Counsel and Information Clause in Contracts

Opportunity to Obtain Counsel and Information. Each Member acknowledges that (a) Liquid Holdings has made available to the Member, at a reasonable time prior to the date of this Agreement, the opportunity for the Member to consult his, her or its own legal counsel and other advisors, as necessary, (b) Liquid Holdings has made available to the Member, at a reasonable time prior to the date of this Agreement, sufficient information concerning Liquid Holdings for the Member to make an informed decision regarding an investment in the Consideration Units and has had an opportunity to ask questions and receive answers concerning the Consideration Units, and (c) Liquid Holdings has made available to the Member, at a reasonable time prior to the date of this Agreement, the opportunity to obtain any additional information that Liquid Holdings possesses, or can acquire without unreasonable effort or expense, that the Member deems necessary to verify the accuracy of the information provided, and has received all such additional information requested.
