Optional Termination in Whole. Prior to the Commitment Termination Date, the Borrower shall have the right at any time to terminate the Commitments in their entirety upon not less than 5 Business Days’ prior notice to the Lenders and the Facility Agent of any such termination, which notice shall specify the effective date of such termination, provided that all amounts due under this Agreement and the other Facility Documents are satisfied in full, including without limitation all principal, interest, Commitment Fees and Administrative Expenses. Such notice of termination shall be irrevocable and effective only upon receipt and shall terminate and cancel the Commitments of each Lender on the date specified in such notice.

Optional Termination in Whole. Prior to the Commitment Termination Date, the Borrower shall have the right at any time to terminate the Commitments in their entirety upon not less than ten Business Days’ prior notice to the Lenders, the Administrative Agent and the Trustee of any such termination, which notice shall specify the effective date of such termination, provided that Payment in Full occurs on such date; provided, however, if the Borrower has revoked its notice of termination pursuant to the last sentence of this paragraph (b), the Borrower shall only be required to give two Business Days’ prior notice of a subsequent termination to the extent that Payment in Full occurs within ten Business Days’ of the effective date specified in the Borrower’s previous notice of termination. On the date thereof, the Borrower may use amounts in the Covered Accounts to effect any such Payment in Full. Such notice of termination shall be irrevocable and effective only upon receipt and shall terminate and cancel the Commitments of each Lender on the date specified in such notice (unless revoked at least two Business Days prior to the effective date specified for such termination, or such shorter period as may be consented to by the Administrative Agent in writing; provided that the Borrower shall pay any Affected Party any Breakage Payment with respect thereto as provided in Section 2.10).

  • Post-Termination Exercise Period Subject to the expiration dates and other terms of the applicable stock option agreements, the Participant may elect to have the right to exercise any outstanding incentive stock options and nonqualified stock options granted prior to the Termination Date to the Participant under the Company's 1984 Long-Term Executive Compensation Plan, its 1993 Long-Term Executive Compensation Plan, or any successor plan to its 1993 Long-Term Executive Compensation Plan that are vested as of the Termination Date (or, if later, the Release Date), whether due to the operation of Section 6(a), above, or otherwise, at any time during the Severance Period and, except in the event that the Severance Period terminates pursuant to Section 8(a), for a period up to 3 months after the end of the Severance Period (notwithstanding Section 8). If the Participant fails to make an election, the Participant's right to exercise such options will expire 3 months after the Termination Date.
