Common use of Order of Precedence; Conflicts Clause in Contracts

Order of Precedence; Conflicts. If there are any conflicts between the terms of this Agreement and any Applicable State Privacy Law, the following order of precedence shall apply (in descending order): the Applicable State Privacy Law then this Agreement. No Signatory shall enter into an Underlying Agreement with another Signatory that conflicts with the terms of this Agreement or Applicable State Privacy Law with respect to a Covered Transaction. For the avoidance of doubt, nothing in this Section 2.2 is intended to supersede any rights, obligations, or remedies a Signatory may have pursuant to any Underlying Agreement with another Signatory other than with respect to the Processing of Personal Information in connection with a Covered Transaction.
