Common use of Order Termination Clause in Contracts

Order Termination. Either party may terminate Services that have not been accepted in accordance with the Order and/or Service Description, upon 45 days prior written notice. Customer will pay for Services performed to the date of termination and all non-refundable or non-terminable out-of-pocket expenses Avaya incurred.

Either party may terminate Professional Services that have not been accepted submitted for acceptance in accordance with the Order and/or Service Description, upon 45 days prior written notice. Customer will pay for Professional Services performed to the date of termination and all non-non- refundable or non-terminable out-of-pocket expenses Avaya incurred, and if applicable, any termination fees.
