ORDERING AND DELIVERY PROCESS a) Orders will be placed via e-mail by ▇▇▇▇▇▇▇▇▇ School District Child Nutrition Services. There will be a standing order for each school. However, if changes need to be made, 2 days advance notice will be given when possible.
b) Unless otherwise specified the vendor must agree to deliver to all specified sites.
c) Drivers will be required to deliver product to designated area of each site.
d) Deliveries will occur 1 time per month at each site. However, this is subject to change.
e) Deliveries must be made in the kitchen 10 minutes before specified serving times.
f) Due to the volume of product and the serving times set forth by each school, more than 1 delivery on the specified day will be required at each site.
g) The delivery schedule will be divided into 3 days 1 time per month.
ORDERING AND DELIVERY PROCESS. 3.1 Distributor will sell the respective Product to the Licensee and will provide Licensee with the End User License Agreement set forth in Exhibit 4. Distributor will instruct Licensee that a License Key is required to initialize the use of the Product, if the purchased Product requires a License Key and that an internet connection may be required to activate and/or run the Product. Licensee will obtain such License Key from the Distributor.
3.2 Distributor will order the Products from ▇▇▇▇▇▇▇▇▇▇ ▇▇ according to Section 9.
1. For this purpose Distributor has to provide up to date detailed sales reporting on the date of the sale to a Licensee. With respect to each order Distributor will provide: name of Licensee as well as its postal and email addresses and the type of Product purchased by Licensee from the Distributor as well as the intended license.
3.3 Upon receipt of full payment of the License Fee of the Distributor for a Product, ▇▇▇▇▇▇▇▇▇▇ ▇▇ will not provide Distributor with the License Key, if the purchased Product requires a License Key.
3.4 If the Distributor is providing hosted services and is using SPLA licenses for a certain ▇▇▇▇▇▇▇▇▇▇ ▇▇ product, then Section 3.1, 3.2 and 3.3 do not apply for this product. They remain valid for all other orders not using the SPLA License model.
