Orders, Rulings, etc. The Corporation covenants that if, in the reasonable opinion of outside counsel, supported by legal analysis, if requested, any instrument is required to be filed with, or any permission, order or ruling is required to be obtained from any securities administrator, regulatory agency or governmental authority in the United States or Canada or any other step is required under any applicable law before the Warrant Shares may be issued or delivered to the Warrantholders, the Corporation will use its commercially reasonable efforts to file such instrument, obtain such permission, order or ruling or take all such other actions, at its expense, as are required.
