Organization and Capital Stock; Authority. (a) Hillside is a corporation, and Bank is a banking corporation, in each case duly organized, validly existing and in good standing under the laws of the State of Illinois. Each of such entities has the corporate power to own all of its property and assets, to incur all of its liabilities and to carry on its business as it is now conducted. Hillside is duly registered as a bank holding company pursuant to the Bank Holding Company Act of 1956, as amended. Bank is authorized to engage in the business of banking in the State of Illinois, and its deposits are insured by the Federal Deposit Insurance Corporation (the "FDIC") to the maximum extent authorized by law. The CIB Parties each have the corporate power to execute and deliver this Agreement and to consummate the transactions contemplated hereby.
