Organization and Good Standing; Business. Each of the Company and its Subsidiaries (a) is a corporation duly organized, validly existing and in good standing under the laws of its jurisdiction of incorporation with all requisite corporate power and authority to own, operate and lease its properties and conduct its business as it is now being conducted and to enter into this Agreement, to perform its obligations hereunder and to consummate the transactions contemplated hereby, (b) is duly qualified to conduct business as a foreign corporation and is in good standing in each jurisdiction where the failure to so qualify would have a Material Adverse Effect, as defined below, and (c) has all governmental franchises, licenses, permits, authorizations, and approvals necessary to enable it to own, lease, or otherwise hold its properties and assets and to carry on its business as presently conducted, except as would otherwise have a Material Adverse Effect. As used in this Agreement, the term "Material Adverse Effect" shall mean any stated event or occurrence that, individually or in the aggregate, would have material adverse effect on the respective businesses, revenues, financial condition, results of operations, properties or assets of the Company and its Subsidiaries taken as a whole.
