ORGANIZATION AND GOOD STANDING. MMP is a limited liability company duly organized and validly existing under the laws of Virginia and has full corporate power and authority to carry on its business as it is now being conducted and to own and use the assets owned and used by it. To the extent required by law, MMP is qualified as a foreign limited liability company and is in good standing under the laws of each jurisdiction in which the conduct of its business or the ownership of its properties requires such qualification. MMP owns 98% of the outstanding partnership interests in the FCC Licensee Entities.

  • Good Standing means only that as of the date of this opinion the Company is up-to-date with the filing of its annual returns and payment of annual fees with the Registrar of Companies. We have made no enquiries into the Company’s good standing with respect to any filings or payment of fees, or both, that it may be required to make under the laws of the Cayman Islands other than the Companies Act.

  • In good standing means, in respect of a registrant,
