Organization and Good Standing of Buyer. Buyer is a corporation duly organized, validly existing and in good standing under the laws of the State of Delaware, and has all requisite corporate power and authority to make the representations, warranties and agreements made hereunder, to execute and deliver this Agreement and the Ancillary Documents and to perform its obligations hereunder and thereunder.

Buyer is a limited partnership validly existing and in good standing under the laws of the State of Delaware and is qualified to transact business and is in good standing as a foreign entity in the jurisdictions where it is required to qualify in order to conduct its business as presently conducted, except where the failure to be so qualified would not have a material adverse effect on Buyer.

The copies or originals of the certificate of incorporation, bylaws, minute books and stock records of Buyer previously delivered to, or made available for inspection by, the Company and the Shareholders are true, complete and correct.

Except as disclosed in Buyer’s Disclosure Schedules, Buyer is duly formed and validly existing under the laws of its state of organization, with full limited partnership power and authority to conduct its business as it is now being conducted, to own or use the properties and assets that it purports to own or use, and to perform all its obligations under this Agreement and to otherwise undertake the Contemplated Transactions. Except as disclosed in Buyer’s Disclosure Schedules, Buyer is duly qualified to do business as a foreign entity and is in good standing, if applicable, under the laws of each state or other jurisdiction in which either the ownership or use of the properties owned or used by it, or the nature of the activities conducted by it, requires such qualification.

All Material Front Royal Subsidiaries are corporations duly organized, validly existing and in good standing under the laws of its respective jurisdiction of incorporation, as set forth in Schedule 6.11. Each of Front Royal, Holdings and the Material Front Royal Subsidiaries has all requisite corporate power and authority to conduct its business as currently conducted and to own or lease and to operate its properties. Each of Front Royal, Holdings and the Material Front Royal Subsidiaries is duly qualified or admitted to do business and is in good standing as a foreign corporation in all jurisdictions in which the ownership, use or leasing of its assets or properties or the conduct or nature of its business makes such qualification or admission necessary, except where the failure to be so qualified or admitted would not reasonably be likely to have a material adverse effect on the properties, business, results of operations, or financial condition of Front Royal or Front Royal and its Subsidiaries taken as a whole.
