Organization and Offering Costs. Organization and Offering Costs shall be charged 100% to the Managing General Partner. For purposes of sharing in revenues under §5.01(b)(4), the Managing General Partner shall be credited with Organization and Offering Costs paid by it and for services provided by it as Organization Costs up to an amount equal to 15% of the Partnership’s subscription proceeds. Any Organization and Offering Costs paid and/or provided in services by the Managing General Partner in excess of this amount shall not be credited towards the Managing General Partner’s required Capital Contribution or revenue share set forth in §5.01(b)(4). The Managing General Partner’s credit for services provided to the Partnership as Organization Costs shall be determined based on generally accepted accounting principles.

Organization and Offering Costs. Organization and Offering Costs shall be charged 100% to the Managing General Partner. Organization and Offering Costs. All Organization and Offering Costs incurred in order to sell program units shall be reasonable. The North American Securities Administrators Association Guidelines for the Registration of Oil and Gas Programs provide that the total reimbursements of Organization and Offering Costs shall not exceed 15% of the gross proceeds; in the Second Offering, the total reimbursements of Organization and Offering costs that may be charged to the Partnership shall not exceed 2% of the aggregate gross proceeds of the Second Offering if less than $500 million is raised or 1.5% of the aggregate gross proceeds of the Second Offering if $500 million or more is raised.

  • Organization and Offering Expenses All expenses incurred by and to be paid from the assets of the Company in connection with and in preparing the Company for registration of and subsequently offering and distributing its Shares to the public, which may include but are not limited to, total underwriting and brokerage discounts and commissions (including fees of the underwriters' attorneys); expenses for printing, engraving and mailing; salaries of employees while engaged in sales activity; charges of transfer agents, registrars, trustees, escrow holders, depositaries and experts; and expenses of qualification of the sale of the securities under Federal and State laws, including taxes and fees, accountants' and attorneys' fees.

Except as set forth on Schedule 5.03, GRS has not issued any other shares of its capital stock and there are no outstanding options, warrants, subscriptions or other rights or obligations to purchase or acquire any of such shares, nor any outstanding securities convertible into or exchangeable for such shares. No dividends are accrued but unpaid on any capital stock of GRS.
