Organization and Registration. The Company and its “Subsidiaries” (which for purposes of this Subscription Agreement means any entity in which the Company, directly or indirectly, owns capital stock and holds a majority or similar interest) are duly organized and validly existing in good standing under the laws of the jurisdiction in which they were organized, and have the requisite power and authorization to own their properties and to carry on their business as now being conducted.
Organization and Registration. PTSC has been established under the laws of the Republic of Indonesia, and is domiciled in Jakarta at Xxxxx 00, 0xx Xxxxx-X-000, X0. H.R. Rasuna Said Xxx.X-0 Xx. 0 Xxxxxxx 00000, Xxxxxxxxx. 2.2
Organization and Registration. CDC and ST. XXXX shall cause NEWCO to be organized and registered under the laws of Japan, and the date upon which NEWCO shall actually be registered and become legally incorporated shall hereinafter be referred to as the "Incorporation Date." The registered head office of NEWCO shall be located in Tokyo, Japan. The Parties shall closely cooperate and consult with each other with respect to the procedures and particulars of the organization and registration of NEWCO, with CDC actually carrying out the necessary procedures.
Organization and Registration. Promptly after the EFFECTIVE DATE, the parties hereto shall cause NEWCO to be organized and registered under the laws of Japan. The parties hereto shall closely cooperate and consult with each other with respect to the procedures and particulars of the organization of NEWCO.
Organization and Registration. The Parties shall use their best efforts to have the Project Company organized and registered promptly under the laws of the ROI. The cost of the Notary who will review the Articles of Association prior to their submission to the ROI Ministry of Justice shall be treated as a preincorporation expense.
Organization and Registration. The Parties shall, as soon as possible after the date hereof, cause RADIATEC as described in this Agreement, to be organized and registered under the laws of Japan. All costs necessary therefor shall be borne by RADIATEC. The registered head office of RADIATEC shall be located at #306, 1-10-00, Xxxxxxxxxxx, Xxxxxxxxxx-xx, Xxxxx, Xxxxx. Xxe Parties shall closely cooperate and consult with each other with respect to the procedures for and particulars relating to the organization and registration of RADIATEC.
