Common use of Organizational Authorization; No Contravention Clause in Contracts

Organizational Authorization; No Contravention. The execution, delivery and performance by Borrower and Guarantors of this Agreement and each other Loan Document to which such Person is a party, have been duly authorized by all necessary corporate, company, and partnership action, and do not and will not: (a) contravene the terms of any of that Person's Organization Documents; (b) conflict with or result in any breach or contravention of, or the creation of any Lien under, any document evidencing any material Contractual Obligation to which such Person is a party or any order, injunction, writ or decree of any Governmental Authority to which such Person or its Property is subject; or (c) violate any Requirement of Law.

The execution, delivery and performance by Borrower and Guarantors each Subsidiary of this Agreement and each other Loan Document to which such Person is a party, have been duly authorized by all necessary corporate, company, and partnership actionaction on the part of such Person, and do not and will not: (a) contravene the terms of any of that Person's ’s Organization Documents; (b) conflict with or result in any breach or contravention of, or the creation of any Lien under, any document evidencing any material Contractual Obligation to which such Person is a party (except as permitted by this Agreement or the Second Lien Credit Agreement) or any order, injunction, writ or decree of any Governmental Authority to which such Person or its Property is subject; or (c) violate result in a violation by such Person of any Requirement of Law.

The execution, delivery and performance by Borrower and Guarantors such Credit Party of this Agreement and each other Loan Document to which such Person is a party, have been duly authorized by all necessary corporate, company, and partnership action, and do not and will not: (a) contravene the terms of any of that Person's Organization Documents; (b) conflict with or result in any breach or contravention of, or the creation of any Lien under, any document evidencing any material Contractual Obligation to which such Person is a party or any order, injunction, writ or decree of any Governmental Authority to which such Person or its Property is subject; or (c) violate any Requirement of Law.
