Organizational Conflict of Interest. (a) The Vendor represents that, to the best of its knowledge and belief, there are no relevant facts or circumstances which could give rise to an organizational conflict of interest, or that the Vendor has disclosed all such relevant information. (b) The Vendor agrees that if an actual or potential organizational conflict of interest is discovered after award, the Vendor will make a full disclosure in writing to FHI 360. This disclosure will include a description of activities which the Vendor has taken or proposes to take, after consultation with FHI 360, to avoid, mitigate, or neutralize the actual or potential conflict.
