OTHER ACTIONS TO BE TAKEN AND ITEMS TO BE DELIVERED BY SELLER. Seller shall perform, on the date of this Agreement, all acts necessary to put Buyer in actual and complete possession and control of the Seller Assets, including, but not limited to, the delivery to Buyer of such instruments of sale, assignment, conveyance and transfer, duly executed and in form and content satisfactory to counsel for Buyer, as are necessary to vest in Buyer good and marketable title to and possession of all of the Seller Assets. Without limiting the generality of the foregoing, Seller shall duly execute and/or deliver, as the case may be, the following concurrently with the execution of this Agreement:
