Common use of Other Business of Members and Managers Clause in Contracts

Other Business of Members and Managers. Except as otherwise provided in Sections 9.1 and 9.2. hereof or in the Non-Competition and Non-Disclosure Agreement dated as of the Effective Date by and among the Company, Xxxxxx Xxxxx, and JBGL, or as may otherwise be agreed in writing and notwithstanding any other duty existing at law or in equity, any Member or Manager and any Affiliate of any Member or Manager may engage in or possess an interest in other business ventures of any nature or description independently or with others, and neither the Company nor any Member or Manager shall have any rights in or to such independent ventures or the income or profits derived therefrom, and, to the fullest extent permitted by law, such activities shall not be construed as a breach of any duty of loyalty or other duty to the other Members and Managers or the Company.

Other Business of Members and Managers.
