The Company has provided OEI with a true, correct and complete copy of each of the listed Other Compensation Plans that is in writing and an accurate description of each of the listed Other Compensation Plans that is not written. Except as accurately set forth in Section 4.26(c) of the Disclosure Statement, each of the Other Compensation Plans, including each that is a Welfare Plan, may be unilaterally amended or terminated by the Company or any Company Subsidiary without liability to any of them, except as to benefits accrued thereunder prior to amendment or termination.
