Other Conditions Precedent to the Purchasers' Obligations. (i) The Company shall have paid all of the out-of-pocket fees and expenses of the Purchasers (including the fees and disbursements of (A) Xxxxxxxxxx'x outside counsel, including Xxxxxx Xxxxxxxx LLP, (B) Quilvest's outside counsel, including Xxxx, Weiss, Rifkind, Wharton, Garrison, (C) the Purchaser Financial Advisor (to the extent set forth on Schedule 8.1(i) attached hereto), (D) accountants and (E) other advisors) related to the Contemplated Transactions incurred through the Initial Closing Date.
