Other Covenants of Buyer. Buyer agrees to submit to regulation by the appropriate state regulatory commission to the same extent as such state regulatory commission currently regulates Seller in connection with the Business. Buyer also agrees to make no filings with such state regulatory commission or take any other action in connection with any Proceeding or Legal Requirement relating to any other businesses conducted by Seller that also are subject to regulation by such state regulatory commission.
Other Covenants of Buyer. In addition to the foregoing, Buyer shall, on the Closing Date, enter into an Employment Agreement with Xxxxx Xxxxxx for a period of three (3) years.
Other Covenants of Buyer. Buyer agrees to submit to regulation by the Hawaii Public Utilities Commission to the same extent as such state regulatory commission currently regulates Seller in connection with the Business, it being agreed that this covenant shall terminate and have no further effect upon Closing. Buyer also agrees to make no filings with such state regulatory commission or take any other action in connection with any Proceeding or Legal Requirement relating to any other businesses conducted by Seller that also are subject to regulation by such state regulatory commission.
Other Covenants of Buyer. Within thirty (30) days after the ------------------------ Closing Date, Buyer shall inform the Susquehanna River Basin Commission, in writing, of the change in ownership of the rights described in Section 2.1(h) and shall take all steps necessary to register such change in ownership.
