Fees and other Actions. Seller has paid all maintenance, annuity, renewal and issuance fees and the like with respect to the Assigned Patents that are due and payable prior to the end of the ninety (90) day period following the Effective Date. Except as set forth in Exhibit E (“Fees and Other Actions List”), attached hereto, there are no actions that must be taken or fees that must be paid within ninety (90) days following the Effective Date, including the payment of any filing, registration, maintenance, annuity, renewal or issuance fees or the filing of any responses with any Government Entity, including office action responses, documents, applications or certificates for the purposes of prosecuting, maintaining, perfecting, preserving or renewing any of the Assigned Patents.

Fees and other Actions. (a) Any cost of any patent office proceedings taken on and after Effective Date by Buyer, and any and all other costs regarding the Patent Assets and the cost of recording the transfer of the Patent Assets, including any maintenance fees, annuities, renewal fees, issue fees and the like that first become due after the Effective Date on the Patent Assets shall be borne solely by Buyer. Buyer shall reimburse Seller for any maintenance fees, annuities and other patent office fees, if any, that first become due for any of the Patent Assets after the Effective Date and are paid by Seller. (b) Buyer after the Effective Date may elect to abandon any pending application or issued patent that is part of the Patent Assets. Should Buyer elect to abandon any such application or patent subject to the Encumbrances/Prior Licenses of Section 8.3 (c), however, it shall give reasonable notice to Seller of its intention to do so at least sixty (60) days before the final deadline for the payment of any maintenance or other fee, or the submission of any office action or other communication to the any patent office that would have the effect of such abandonment. *Please note parts of this Agreement are designated with an asterisk which indicates that material has been omitted and filed separately with the Securities and Exchange Commission pursuant to a request for confidential treatment.
Fees and other Actions. There may be times when circumstances result in a fee or other action being assessed on the Account. The Rates and Fees Table lists the amounts of these fees. All such fees will be added to the Purchase balance, unless otherwise indicated. Additional fees for special services you request may apply. You will be advised of the amount of such fees at the time of your request. Late Payment Fee Ensure that we receive at least the minimum payment by the Payment Due Date shown on the monthly billing statement. If any payment is late, we may charge you a late payment fee. See the Rates and Fees Table for the late payment fee applicable to your Account. In no event will your late payment fee exceed the amount of your minimum payment due. Stop Payment Fee Do not stop payment on checks. We may charge a stop payment fee of $34.00 if we stop payment on acheck at your request. Collections Do not default. If the Account is in default, we may take the actions described above in the Default section under Important Definitions, above. Statement Reprint Fee You can request a copy of your statement. We will add a Statement Reprint fee of $6 to your purchase balance if you request a copy of your monthly statement. Rush Order Fee - Card Replacement You can request that a new or replacement card be sent to you on an expedited basis. We will add a Rush Order fee of$25 to your Purchase balance if you request that a new or replacement card be sent to you on an expedited basis. My Card is lost or stolen, or my Account has been compromised? Contact us immediately and stop using your Account. Contact us at the address or telephone number listed on your billing statement or Card. You will not be liable for any unauthorized use that occurs after you notify us. You may, however, be liable for unauthorized use that occurs before your notice to us. In any case, your liability will not exceed $50. My Account is closed or suspended? You must still repay all amountsyou owe under this Agreement. You remain responsible for yourbalance. My name, address, telephone number of other information has changed. Notify us of any change. We may also ask you to provide us updated financial information about you, and you agree to do so.

  • Litigation and Other Notices Furnish to the Administrative Agent (which will promptly thereafter furnish to the Lenders) written notice of the following promptly after any Responsible Officer of the Company obtains actual knowledge thereof: (a) any Event of Default or Default, specifying the nature and extent thereof and the corrective action (if any) proposed to be taken with respect thereto; (b) the filing or commencement of, or any written threat or notice of intention of any person to file or commence, any action, suit or proceeding, whether at law or in equity or by or before any Governmental Authority or in arbitration, against any Loan Party or any Subsidiary as to which an adverse determination is reasonably probable and which, if adversely determined, would reasonably be expected to have a Material Adverse Effect; (c) any other development specific to any Loan Party or any Subsidiary that is not a matter of general public knowledge and that has had, or would reasonably be expected to have, a Material Adverse Effect; (d) the development of any ERISA Event that, together with all other ERISA Events that have developed or occurred, would reasonably be expected to have a Material Adverse Effect; and (e) any change in the information provided in the Beneficial Ownership Certification delivered to such Lender that would result in a change to the list of beneficial owners identified in such certification.

  • Fees and Other Charges (a) The Borrower will pay a fee on each outstanding Letter of Credit requested by it, at a per annum rate equal to the Applicable Margin then in effect with respect to Eurocurrency Loans under the Revolving Facility (minus the fronting fee referred to below), on the face amount of such Letter of Credit, which fee shall be shared ratably among the Revolving Lenders and payable quarterly in arrears on each Fee Payment Date after the issuance date; provided that, with respect to any Defaulting Lender, such Lender’s ratable share of any letter of credit fee accrued on the aggregate amount available to be drawn on any outstanding Letters of Credit during the period prior to the time such Lender became a Defaulting Lender and unpaid at such time shall not be payable by the Borrower so long as such Lender shall be a Defaulting Lender except to the extent that such Lender’s ratable share of any letter of credit fee shall otherwise have been due and payable by the Borrower prior to such time; provided further that any Defaulting Lender’s ratable share of any letter of credit fee accrued on the aggregate amount available to be drawn on any outstanding Letters of Credit shall accrue for the account of the Borrower so long as such Lender shall be a Defaulting Lender. In addition, the Borrower shall pay to each Issuing Lender for its own account a fronting fee on the aggregate face amount of all outstanding Letters of Credit issued by it to the Borrower separately agreed to by the Borrower and such Issuing Lender (but in any event not to exceed 0.25% per annum), payable quarterly in arrears on each Fee Payment Date after the issuance date. (b) In addition to the foregoing fees, the Borrower shall pay or reimburse each Issuing Lender for costs and expenses agreed by the Borrower and such Issuing Lender in issuing, negotiating, effecting payment under, amending or otherwise administering any Letter of Credit requested by the Borrower.
