The execution and performance of the Financing Documents executed by Grantor and the consummation of the transactions contemplated thereby will not conflict with, result in any breach of, or constitute a default under the operating agreement of Grantor, or any contract, agreement, document or other instrument to which Grantor is a party or by which Grantor may be bound or affected, and do not and will not violate or contravene any Law to which Grantor is subject.
