Common use of Other Events of Termination Clause in Contracts

Other Events of Termination. The following circumstances shall --------------------------- specifically be deemed a termination Without Cause of the Executive's employment by the Company: (i) a vote by the Board of Directors to terminate the Executive Without Cause, as defined in Section 6(d) hereof; (ii) any termination of the Executive's employment which is not effected pursuant to a Notice of Termination satisfying the requirements of Section 8(a) hereof; or (iii) a breach by the Company of this Agreement, and a subsequent election by the Executive to terminate this Agreement pursuant to Section 6(e) above; (iv) the performance of any other act by the Company which is designated to prevent the Executive from properly performing the authorities, duties and responsibilities of his employment hereunder; or (v) a Change in Control (as defined below) of the Company.
